1. Commitment. “Our”, “us” “we” or “Hwisel” means Hwisel Soft Inc. for customers in Canada or Hwisel LLC for customers in the United States of America (USA). Our commitment to you, our customer, (“you”, “your” or “customer”), is to provide you with a reliable, trouble-free equipment in accordance with this Subscription Agreement (the “Agreement”). The equipment (“Equipment”) you subscribed for from us, as further defined by the subscription plan you selected (the “Plan”), is backed by Hwisel to the extent provided in this Agreement.

If you selected to have the equipment installed by us, then the EV Charger Installation General Terms and Conditions also apply. You will find these attached as Appendix A hereto.

2. Term. The term of this Agreement commences on the date you purchased the Plan (as indicated by the date of your online enrollment). The term of the Equipment subscription ends if this Agreement is terminated by you or us in accordance with its terms (which, for greater certainty, includes you exercising your buyout option in accordance with the terms of this Agreement) or when the useful life of the Equipment has ended. The useful life of the Equipment ends when Hwisel or its authorized service provider determines, having regard to the relevant factors, including without limitation, the age of the Equipment and the cost of any repairs to be made to the Equipment, that it is no longer commercially reasonable to repair the Equipment. For greater certainty, you do not have any right to subsequently request different Equipment than the one you subscribe from us under this Agreement. We may elect to replace the Equipment, as part of our Swap Out Service, instead of servicing the Equipment on your premises in which case a Swap Out would not be consider the end of the useful life of the Equipment.

3. Our Obligation to You. Our obligation to you is to install, if installation is included in your plan, service and repair the Equipment with no service charges or parts replacement charges except in the following circumstances:

a) if you (or a third party not authorized by us) alter, modify, adjust, damage, service, repair, move or disconnect, the Equipment;

b) if service or repairs to the Equipment are necessary because the Equipment was used for an unintended or unauthorized purpose, including non- residential purposes;

c) if you fail to maintain the Equipment in accordance with the requirements set out below under “Customer Obligations - Safety”; or

d) if you fail to notify us as described below under “Customer Obligations - Duty to Maintain”.

4. Customer Obligations. In return for fulfilling our obligations to you, you agree that:

a) Subscription Charges – The rate on the date of this Agreement for your monthly subscription charge is indicated at the time of your online enrolment. You will be responsible for paying subscription charges from the date the Equipment is installed (as indicated on the Certificate of Completion presented to you by the installing technician and signed by you) or, if you purchased the premises after the Equipment was installed, from the closing date of the purchase. We may increase our subscription rates on each calendar year by a percentage up to five (5%) percent.

b) Payment of Charges – You will pay your charges billed under this Agreement when due. You agree to pay State, local, Provincial, and Federal taxes applicable and any other taxes payable in connection with this Agreement. Your charges may be included on your utility bill, or we may choose to bill you separately or through our service provider. Acceptable methods of payment, which currently include pre-authorized payment (ACH)(PAP), payment by cheque, by Visa or Mastercard, by telephone or in person, will be set out on the bill you receive. Should any payment be returned for non-sufficient funds (“NSF”), you agree to pay an NSF charge of $25.00. A late payment charge will apply to all overdue amounts on your bill, including applicable federal and provincial taxes. The rate for late payment charges is 1.5% per month or 18% per year (for an effective rate of 19.56% per year). Your bill is due on the date indicated on the bill.

c) Access – You will provide us with timely access to the Equipment whenever required by us to perform our obligations or exercise our rights under this Agreement.

d) Safety – You will use the Equipment safely and responsibly. In particular, you will:

i) maintain effective operation;
ii)ensure that no combustible, hazardous or flammable materials are used or stored in the same area as, or near, the Equipment;
iii) ensure that the Equipment is not confined in a location where it is difficult to service or remove or where there is inadequate ventilation;
iv) provide us with access to the Equipment whenever reasonably required for purposes of inspection, repair, maintenance or removal;
v) inspect the area around the Equipment on a regular basis;
vi) contact us for service if you see any wear or tear on the equipment; and
vii) not permit anyone who has not been authorized by us to service, repair, modify, alter, adjust, move or disconnect the Equipment.

e) Duty to Maintain – You are required, as the user of the Equipment, to ensure that it is maintained in a safe operating condition. In the event that a service or repair is required please use the Hwisel Mobile App to request Equipment repair.

f) Ownership, Credit and Security Interest. You agree that:

i) if more than one customer is named on the account, each of you is individually liable, and all of you are collectively liable, for all obligations imposed on you by this Agreement;

ii) during the term of this Agreement, the Equipment remains our property, does not become a fixture, and you will not tamper with any tag(s) or sticker(s) identifying the Equipment as subscribed equipment or that it is owned by us;
iii) we may inquire about your credit history and, if necessary, use the personal information you have provided to us to do so. For greater certainty, you authorize any credit reporting agency to give us credit or other personal information about you from time to time during the term of this Agreement. You can withdraw this authorization at any time. If you do or we are not satisfied with the results of any credit check, we may end this Agreement and the provisions of “Termination - Termination by Us” will apply;

iv) you will promptly inform us of any change in your: (a) mailing address at least 30 days in advance of such change; and/or (b) if previously provided, bank account or credit card information promptly after such change is made;
v) this Agreement is binding upon and will enure to your heirs, personal representatives, successors and permitted assigns; and

vi) we may register, at your expense, our interest in the Equipment against you and/or against title to the premises. To the extent permitted by law, you agree to waive any right to receive a copy of such registration and appoint us as your lawful attorney for the purpose of doing any such registrations. You agree that the Equipment will remain personal property even though it may become affixed to the premises. You agree to keep the Equipment free of all liens, security interests, mortgages and other claims.

5. Sale of your Home – If you sell or otherwise transfer the premises, you are required to inform the transferee, at or before the effective date of the sale or transfer, of the existence of this Agreement and the subscription Equipment installed in the premises. We will permit the transferee to assume your rights and obligations under this Agreement, effective from the date of sale or transfer; provided that:

a) you or your representative notify the transferee in the sale or transfer agreement that the Equipment is subscribed and is subject to this Agreement;

b)  you or your representative advise us in advance of the transferee’s name and the intended date of sale or transfer;

c)  you or your representative advise us in advance of the address and telephone number where you can be contacted after the date of sale or transfer;

d)  Upon approval by us, the transferee agrees in writing or by conduct to assume your obligations under this Agreement; and

e) you have paid us all amounts owing under this Agreement.

Unless and until these conditions are satisfied, or unless Hwisel otherwise waives any or all of these conditions, which we are under no obligation to do, you will remain responsible for the Equipment subscription and your obligations under this Agreement, including making all subscription payments. You hereby authorize us to respond to information requests relating to your account made by or on behalf of the transferee.

6. Customer Advisory. Hwisel encourages you to read the Equipment User Manual provided to you upon or after installation of the Equipment for further information on the proper use and maintenance of the Equipment.

7. Warranties and Liability.

a) Warranties – We make no representations, warranties or conditions as to the performance of the Equipment except for those which are given by statute and which you cannot waive and except any express warranties provided by the manufacturer of the Equipment, except as provided below. Subject to you carrying-out your obligations under this Agreement (including those under “Customer Obligations”) and subject to the limitations set out under “Liability”, we hereby warrant that the Equipment will work for the term of this Agreement, reasonable wear and tear excepted. We are not the manufacturer of the Equipment and we are not making any warranty or guarantee in respect of it, the supplier or the manufacturer of the Equipment, including whether the Equipment is suitable for you, except as provided above. Any warranties or guarantees provided under applicable legislation are hereby excluded to the extent permitted by law.

b) Liability – Except as otherwise expressly provided in this Agreement, we will not be liable for any loss, damage or injury of any type (including as a result of any electrical related events) arising out of or related to this Agreement or caused or contributed to in any way by the supply, installation, use and/or operation of the Equipment. We shall not be responsible for any indirect, incidental, special or consequential damages, even if reasonably foreseeable. If we are unable to perform any of our obligations under this Agreement because of circumstances or events beyond our control, we shall be excused from the performance of such obligations for the duration of such circumstances or events and we shall not be liable to you for such failure to perform.

c) Indemnity – You will indemnify us from all claims, losses and costs that we may suffer or pay or may be required to pay, including legal expenses, in connection with this Agreement, including its termination or enforcement, or the supply, use and/or operation of the Equipment including any claims against us for any injury or death to individuals or damage to property, including from your negligence or misuse of the Equipment. This obligation survives the termination of this Agreement for any reason.

d) Insurance – During the term of this Agreement, you are responsible for any loss or damage to the Equipment from any cause, whether or not insured, until all of your obligations under this Agreement have been fulfilled.

8. Personal Information About You. You authorize us to collect and use personal information about you. You agree to pay the buyout price when
invoiced by us.
Termination by You –
Your sole method of terminating this Agreement prior to the end of the useful life of the Equipment is to purchase the Equipment. You also agree to pay the buyout price when invoiced by us. Once payment has been received for the buyout price, and no other amounts are outstanding pursuant to this Agreement, this Agreement will end for the Equipment and, as set out more particularly below in the section called “End of this Agreement”, you will have no further obligation to pay subscribe and we will have no further obligation to you.

10. End of this Agreement. At the end of this Agreement (for whatever reason):

a) Subscribe – you are not obligated to subscribe, and we are not obligated to supply replacement equipment (including the Equipment), unless we mutually agree at the time and enter into a new Equipment subscription agreement.

b) Replacement – Hwisel is not responsible for replacing the Equipment or re-connecting any ancillary or other
equipment including without limitation wiring, and/or electrical services.

c) Removal and Disposal – if the Equipment has reached the end of its useful life and we are not installing replacement Equipment, you shall at such time own the Equipment, and if you wish for us to disconnect and/or dispose of the Equipment, you must contact us to make such arrangements. We will charge you in accordance with our then current fee schedules for removals or disposals.

d) No Further Obligations – you will have no further obligation to subscribe (other than amounts owing prior to the end of this Agreement) and, subject to any statutorily mandated requirements, we will have no further obligations of any kind or manner to you.

11. Assignments. We may transfer, assign, encumber or otherwise dispose of all or any part of our interest in this Agreement and/or the Equipment to another party at any time without notice to you and without your permission. To the extent permitted by law, you will not assert against any transferee any claims, defences, set-offs, deductions or counter-claims which you may now or in the future be entitled to assert against us. Except as otherwise provided in this Agreement, you may not transfer, assign or encumber all or part of your interest in this Agreement or the Equipment without our prior written consent (see the section called “Sale of your Home”).

12. Invalidity of Provision. If any provision of this Agreement or the application thereof to any person or circumstance is held to be invalid or unenforceable, such provision shall be severed and the remainder of this Agreement shall continue to remain in full force and effect subject to such modifications as may be necessary to carry out the provisions and intent of this Agreement.

13. Governing Law. This Agreement will be governed by and construed in accordance with the laws of the Province of Ontario and federal laws of Canada applicable therein when entered into by a customer living in Canada. This Agreement may be amended from time to time by us by notice in bill inserts, by letter or by any method permitted by law in which case you will have the option to not accept such amendment and retain this Agreement unchanged.

15. How to Contact Us. You may contact us as follows:

16. Acceptance. This agreement is subject to acceptance by Hwisel Soft Inc. for Canadian customers and Hwisel LLC for customers in the United States of America. Acceptance is deemed to have been made when the equipment is installed.

17. USA MANDATORY ARBITRATION PROVISION. Unless you make written application to Hwisel and Hwisel agrees in writing to allow you to bring a small claims lawsuit against Hwisel solely in your individual capacity, any claim, dispute or controversy, regarding any contract, tort, statute, or otherwise (“Claim”), arising out of or relating to this agreement or the relationships among the parties hereto shall be resolved by one arbitrator through binding arbitration administered by the American Arbitration Association (“AAA”), under the AAA Commercial or Consumer, as applicable, Rules in effect at the time the Claim is filed (“AAA Rules”). Copies of the AAA Rules and forms can be located at www.adr.org, or by calling 1-800-778-7879. The arbitrator’s decision shall be final, binding, and nonappealable. Judgment upon the award may be entered and enforced in any court having jurisdiction. This clause is made pursuant to a transaction involving interstate commerce and shall be governed by the Federal Arbitration Act. Neither party shall sue the other party other than as provided herein or for enforcement of this clause or of the arbitrator’s award; any such suit may be brought only in Federal District Court for the District or, if any such court lacks jurisdiction, in any state court that has jurisdiction. The arbitrator, and not any federal, state, or local court, shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, unconscionability, arbitrability, enforceability or formation of this Agreement including any claim that all or any part of the Agreement is void or voidable. However, the preceding sentence shall not apply to the clause entitled “Class Action Waiver.”

18. USA CLASS ACTION WAIVER. Any Claim must be brought in the parties’ individual capacity, and not as a plaintiff or class member in any purported class, collective, representative, multiple plaintiff, or similar proceeding (“Class Action”). The parties expressly waive any ability to maintain any Class Action in any forum. The arbitrator shall not have authority to combine or aggregate similar claims or conduct any Class Action nor make an award to any person or entity not a party to the arbitration. Any claim that all or part of this Class Action Waiver is unenforceable, unconscionable, void, or voidable may be determined only by a court of competent jurisdiction and not by an arbitrator. THE PARTIES UNDERSTAND THAT THEY WOULD HAVE HAD A RIGHT TO LITIGATE THROUGH A COURT, TO HAVE A JUDGE OR JURY DECIDE THEIR CASE AND TO BE PARTY TO A CLASS OR REPRESENTATIVE ACTION, HOWEVER, THEY UNDERSTAND AND CHOOSE TO HAVE ANY CLAIMS DECIDED INDIVIDUALLY, THROUGH ARBITRATION.

EV Charger Installation
General Terms and Conditions

Our terms and conditions cover what is included in your standard install and what happens if we need to quote for extra works.

Sometimes issues arise on the day that mean we can’t complete your install on the first visit, but if we know about these in advance, we can often resolve them beforehand. So, for the best experience, if you think there’s any reason why we might not be able to complete your install on the day, please let us know.

What’s included:

The standard installation package for the residential Charger covers most homes and includes the following:

  • Fitting of a Charger on a brick or plaster wall, or to another suitable permanent structure.
  • Up to 15 metres (50 feet) of cable, run and neatly clipped to the wall between the electricity supply meter / distribution board and the Charger.
  • Routing of the cable through a drilled hole in a wall up to 500mm (20 inches) thick, if this is needed.
  • The fitting and testing of electrical connections and protections required for the Charger.
  • Main panel breaker.
  • Installation of a disconnect, if required.
  • An earth rod in soft ground, if required.

Some conditions and limitations that you need to know:

  • The Charger must be located in your designated parking area/garage and be fixed at a height where it can’t be hit by a vehicle.
  • We can’t fix the cable higher than 1.8 metres (6 feet) above the ground. If fixing higher than this is unavoidable then the installation may need to be paused - in that case, we will quote for any extra work needed.
  • We can’t, as part of the standard package, trench the cable underground or suspend it above ground - if something like this is required, please talk to us so that we can give you a quote in advance. If we find out on the day that we have to cross a garden or a pathway we may need to pause the job and quote for the extra work needed to trench the cable.
  • When you are using your charger the EV charging lead must remain on your property and must not create a trip hazard for you or anyone else.
  • We can’t run cable under floorboards or through ducting / ceiling voids / wall voids without a draw cord (to pull the cable through), or if the floorboards have not been lifted. We can’t take responsibility for reinstating flooring or other building materials after the cable has been laid.
  • Our experts are not able to work in crawl spaces, on roofs or in lofts if it is deemed unsafe by them.
  • Our experts are not able to work in extreme weather (i.e. flooding or intense rain). If it is not safe to carry on, our expert will do as much as they can, and they will return at a later date.
  • If you have subscribed for a freestanding mount for the Charger, please be aware that there may be an additional installation time required.

What happens if we find that your existing electrical service isn’t up to scratch:

  • If we can’t install in line with the electrical code in your area, then your installation will be paused, and we will quote for the work needed to meet the required Code.
  • If the existing electrical service at the property is not in line with the Code or there is something else that makes it unsafe for us to install, then we will quote for the work needed to meet the required standards.

What happens if your electrical supply is inadequate?

We can only complete the job if the electrical capacity (i.e. main fuse) can support the additional electrical demands of the Charger. If the capacity is not sufficient, we might be able to de-rate the Charger or we can use Smart Charging technology if approved by the Electrical Safety Authority, or we may have to pause the job until the necessary service is in place.

We allocate two hours for standard installations. If we can’t complete on the day because of supply related problems or unexpected extra works then we will reschedule an installation date once the additional works are complete or our quotation for the work has been accepted.

Additional works:

  • If required, your installation project manager or Charger Expert will detail required work and provide a no obligation quotation for these services. Quotations are valid for a period of 90 days once issued.
  • If the additional work is minor (less than 2 hours additional works) and can be completed on the day, you will be eligible for a $50.00 discount if you decide to pay and proceed on the day.
  • If it is determined that an installation cannot be completed on the day, we will quote for the additional work, and a new installation date will be given once payment has been made. Please allow up to 10 working days for a new installation date.
  • If your Charger Expert suspects that the installation will not comply with the Electrical Code in your area, your installation will be paused. Should you disagree with that assessment, you will be given an opportunity to contest this by providing us with information to state your case with the Electrical Safety authority for preapproval. Should we receive approval to proceed, a new installation date will be given, please allow up to 10 working days for a new installation date.
  • The owner/customer or a responsible adult of the age of 18 years or over needs to be present on site for the entire duration of the install.

Limitation of liability:

In no event will we accept any liability for any loss, costs or consequential damage due to the use and/or misuse of our hardware or software products except where this is caused by our negligence.

In no event will we accept any liability for any loss, costs or consequential damage due to the aborted installation of a home charge point where it is not safe or practical to install. This includes, but isn’t limited to, issues related to land ownership or power which can’t be assessed prior to install. In these circumstances we will provide a full refund of all money paid to us in respect of the planned installation unless you (the customer) withheld any key information from us. Our liability for any other losses won’t exceed the amount we charge you for your install, except for our liability for personal injury or death caused by our negligence and anything else where our liability can’t be limited by law.

Internet Connection:

Hwisel Charger services can only be provided through an internet connection. We will require customers to provide this connectivity.

Partner Installers:

We work with a network of 3rd party installers (“Partner Installers”). We will send your order to a Partner Installer so that they can carry out your installation.

Once we have received your Subscription:

  • You may receive notification on the Hwisel Mobile App if you have downloaded the App and registered.
  • You will be able to make changes to your appointment, track the arrival time of the Installer, and signoff on the installation once done, all in the Hwisel Mobile App.
  • If you don’t have the Hwisel Mobile App then the installer will make contact to arrange an installation date with you, visit with you to carry out the work and deliver your equipment (if they haven’t been sent via post).

Smart Charging:

Every new charger unit offers ‘Smart Charging’. Once connected to Wi-Fi, the home charger unit will automatically receive over-the-air updates, meaning it continually benefit from the latest software updates available. Connecting your home charge unit to Wi-Fi will also allow you to see the energy used to charge your electric vehicle, via the Charger App.

Please note, you will need sufficient Wi-Fi coverage in the location where your charger is installed. If your Wi-Fi coverage is not sufficient, functionality that requires Wi-Fi may not work as intended or at all. For example, over-the air updates may take a long time to complete or not complete at all, remote support diagnostics may not be possible and charging data may not be properly recorded in the Charger App.

HELM (Hwisel Electrical Load Management) System:

While Smart Charging comes as standard with every unit, the Hwisel Electricity Load Management System (HELM) will help to unlock even more functionality. The HELM system allows your charger to ‘Load Balance’ the demand between your charger and the rest of your home electrical appliances. In simple terms, the HELM ensures that your charger has the full capacity to charge your vehicle at the fastest rate capable by the charger.

The HELM system is optional and may not be required by all customers. However, if your electrical service is not adequate for the installation of a charger or if you want to install two chargers or to charge two cars at the same time, HELM could provide a cost-effective solution.

During your installation, the Charger Expert will attach a sensor to your electrical panel. This sensor will send data to our cloud for analysis and instructions will be sent to the Charger accordingly. The HELM will speed up or slow down the charger depending on the other electrical loads in your house. This safety feature adjusts the charge rate and prevents overloading your property’s allocated electricity supply.

All Customers will benefit from the “Auto Power Balancing” feature of the HELM.

Local Power Network Conditions:

The rate your charger is capable of charging at is ultimately determined by local power network conditions - in other words, how much power is available at the location where it is installed. These local power network conditions vary continuously due to the local electrical load and also as a result of local generation. If, at any time, there is not enough power available to charge at the maximum rate your charger is capable of, it may be temporarily restricted to a lower charging rate until the local conditions improve.

Local power network conditions are not under our control.
